1. Definitions
- "Service" refers to any of Boon Bytes' offered services: Goodwill Review, Mindful Integration, and Considered Support Plan.
- "We / Us / Our" refers to Boon Bytes, operating from Bangkok, Thailand.
- "You / Client" refers to any individual or organisation that engages or enquires about our services.
- "Agreement" refers to the written service agreement entered into between the parties prior to the commencement of any paid service.
- "Documentation" refers to written materials produced by Boon Bytes as part of service delivery.
2. Acceptance of Terms
By using this website or engaging our services, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. These terms apply to all website visitors and service clients. If you do not accept these terms, please do not use our website or services.
3. Service Description
Boon Bytes offers AI integration consulting services for businesses in Thailand and the wider Southeast Asian region. Our three services are:
- Goodwill Review (฿4,600): A scoped assessment of AI integration opportunities, delivered as a written report.
- Mindful Integration (฿10,600): A defined project to build and install an AI assistant within one existing business tool, including staff handover.
- Considered Support Plan (฿17,000/month): Ongoing monthly oversight, assessment, and support for an existing integration. Month-to-month, no fixed term.
4. User Responsibilities
Clients are responsible for:
- Providing accurate information about their business during the review and integration phases
- Ensuring relevant staff are available for consultation and handover sessions
- Using deliverables and systems built by Boon Bytes in accordance with applicable Thai law and the terms of any third-party platforms involved
- Not reselling or sublicensing documentation or systems produced by Boon Bytes without written agreement
5. Intellectual Property
All documentation produced for a client during an engagement becomes the client's property upon full payment. Boon Bytes retains the right to use anonymised methodologies and process learnings for internal improvement. We do not use client data, business specifics, or system configurations in any public-facing capacity.
Our website content, branding, and general methodologies remain the intellectual property of Boon Bytes.
6. Payment Terms
- Goodwill Review and Mindful Integration are invoiced at project commencement, with a 50% deposit required before work begins.
- Considered Support Plan is invoiced monthly in advance.
- All prices are in Thai Baht (฿) and include applicable taxes where required by Thai law.
- Payment is accepted by bank transfer to a Thai bank account. Details are provided in the invoice.
- Invoices are due within 14 days of issue.
7. Cancellation and Refunds
- Goodwill Review: Cancellation before the discovery call carries no charge. After the discovery call, the deposit is non-refundable.
- Mindful Integration: Cancellation before the scoping session is fully refundable. After scoping, work completed to date is billed at an agreed daily rate.
- Considered Support Plan: The plan may be cancelled with 14 days' written notice. No refunds are issued for partially used months.
8. Disclaimers
Boon Bytes provides services in good faith based on available information and current AI capabilities. We do not warrant:
- That AI tools will perform identically over time, as third-party platforms may update or discontinue features
- That specific business outcomes (revenue increases, time savings) will be achieved
- That integrations will function without any interruption
Our written reports and recommendations reflect professional judgement at the time of delivery and are not legal, financial, or technical warranties.
9. Limitation of Liability
To the extent permitted by Thai law, Boon Bytes' total liability to a client for any claim arising from a service engagement is limited to the amount paid for that specific service. We are not liable for indirect, consequential, or incidental losses, including lost revenue or business interruption.
10. Confidentiality
Both parties agree to treat the other's confidential business information with discretion. We will not disclose client business details, processes, or system specifics to third parties. Clients will not disclose proprietary Boon Bytes methodologies to competitors.
11. Termination
Either party may terminate an engagement by written notice under the conditions described in the service agreement. Upon termination, all deliverables produced to date and paid for transfer to the client. Boon Bytes retains no ongoing access to systems after an engagement concludes.
12. Dispute Resolution
These terms are governed by the laws of Thailand. In the event of a dispute, the parties will first attempt informal resolution through direct discussion. If unresolved within 30 days, the dispute will be referred to mediation under Thai law before any legal proceedings are initiated. Jurisdiction rests with the courts of Bangkok.
13. General Provisions
- Entire agreement: These terms, together with the service agreement, constitute the full agreement between the parties.
- Severability: If any provision is found unenforceable, the remainder of these terms continues in full effect.
- Waiver: Failure to enforce a provision on one occasion does not waive the right to enforce it on another.
- Assignment: You may not assign your rights under these terms without our written consent.
14. Changes to Terms
We may revise these terms from time to time. The revised version will be published on this page with an updated effective date. For existing service clients, material changes will be communicated by email at least 14 days before they take effect.
